1. Acceptance of Agreement & Definitions

This document is published in conformance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Information Technology Act, 2000 (as amended from time to time).

Throughout these Terms, the expressions "QwikPro", "Company", "we", "us", and "our" refer to QWIKPRO PAYMENTS PRIVATE LIMITED (CIN: U66190GJ2023PTC144619), a company incorporated under the Companies Act, 2013, with its registered office at C-601 Marriott Sky, Opp. Sarita-1 & Sarita-3, Ahmedabad, Gujarat 382350, India, and its corporate / operational office at Office No. 1010 & 1011, 10th Floor, Regalia, DTA Zone, Plot No. 56C, Behind GIFT Tower-2, GIFT City, Gandhinagar, Gujarat 382355, India. The expressions "User", "You", and "Your" refer to any individual, patient, medical practitioner, pharmacy operator, healthcare facility, or organizational entity accessing or using our digital solutions.

2. Technology Platform & Intermediary Role

QwikPro operates strictly as a technology platform and digital intermediary. We engineer digital infrastructure designed to interconnect patients, licensed healthcare professionals, independent retail pharmacies, accredited diagnostic centers, and financial networks into an efficient, interoperable digital ecosystem.

All medical advice, clinical diagnostics, treatment plans, surgical recommendations, prescription issuances, drug dispensations, and lab specimen interpretations are conducted solely and independently by the respective third-party licensed professionals and healthcare facilities.

3. User Eligibility & Account Security

To create an account or transact on the Platform, you must be at least eighteen (18) years of age and fully competent under the Indian Contract Act, 1872. If you are accessing the Platform on behalf of a minor, elderly dependent, or ward, you affirm that you are the lawful legal guardian or authorized family caregiver holding valid consent to bind them to these Terms.

• Registration Information: You agree to provide true, accurate, current, and complete information during registration and to promptly update your profile whenever details change.
• Authentication Credentials: You are solely responsible for maintaining the confidentiality of your login credentials, passwords, PINs, and one-time passwords (OTPs).
• Security Warning: QwikPro personnel will never ask for your login password, card PIN, CVV, or banking OTP. Never disclose these confidential credentials to any person claiming to represent QwikPro.
• Unauthorized Activity: You must promptly notify QwikPro at [email protected] upon suspecting any unauthorized access or security breach involving your account.

4. No Clinical Advice & Informational Content Disclaimer

The contents of the Platform — including textual descriptions, infographics, software workflow guidance, drug reference data, educational articles, blog posts, wellness guides, and lifestyle materials — are provided strictly for general informational, educational, and workflow-enablement purposes.

Such educational and informational materials do not constitute medical diagnoses, treatment plans, drug prescriptions, or individualized clinical advice, and should never be relied upon as a substitute for in-person professional evaluation by a qualified healthcare professional. Medical science evolves continuously; while reasonable efforts are made to present accurate information, QwikPro does not warrant that general educational content is complete, exhaustive, current, or applicable to your specific health condition.

No Doctor-Patient Relationship: Your interaction with the Platform, reading of informational articles, or receipt of automated system notifications does not create a doctor-patient relationship between you and QwikPro. A doctor-patient relationship is formed exclusively between you and the independent Registered Medical Practitioner (RMP) with whom you elect to consult.

5. Virtual Consultations & Healthcare Bookings

Where teleconsultation features are utilized through the Platform, virtual interactions occur between independent medical practitioners and patients subject to India's Telemedicine Practice Guidelines and National Medical Commission regulations:

• Clinical Prudence & In-Person Referrals: An RMP maintains full clinical discretion to determine whether a virtual consultation is clinically appropriate. The RMP reserves the absolute right to advise an in-person physical clinical examination whenever remote modalities are inadequate.
• Patient Truthfulness: You agree to provide a complete, truthful, and accurate medical history, including ongoing treatments, drug allergies, existing diagnoses, and diagnostic readings.
• Consultation Scheduling: Appointment slots are subject to practitioner availability. Rescheduling, no-shows, and cancellations are governed by our Refund & Cancellation Policy.

6. Pharmacy Orders & Diagnostic Testing

QwikPro facilitates digital integration with licensed third-party pharmacies (including local pharmacies using QwikPharm or enabled via the Open Network for Digital Commerce — ONDC) and certified diagnostic laboratories:

• Digital Order Transmission vs. Seller Acceptance: Submitting an order or booking request through the Platform initiates electronic transmission of the transaction details to the applicable independent seller, pharmacy, diagnostic laboratory, or network participant. QwikPro does not accept physical goods orders or guarantee commercial fulfillment. Prescription verification, product stock validation, medicine dispensing, batch and expiry examination, packaging, formal order acceptance, and physical dispatch remain exclusively with the fulfilling licensed pharmacy or healthcare provider.
• Prescription Requirements: Dispensation of Schedule H, H1, or other prescription-only drugs requires a valid, current prescription issued by a qualified RMP. Partner pharmacies reserve the right to review, authenticate, or decline orders if a prescription is invalid, illegible, or expired.
• Restricted Substances: The ordering or fulfillment of Schedule X narcotics, habit-forming substances, or medications prohibited for remote dispensation under Indian law is strictly prohibited.
• Quality & Packaging: The licensed pharmacy or laboratory partner is solely responsible for medication authenticity, packaging, storage condition compliance, batch integrity, expiry validation, sample collection, and diagnostic testing accuracy.
• Estimated Turnaround & Delivery Timeframes: Laboratory turnaround times (TAT) and medicine delivery schedules communicated on the Platform are non-guaranteed operational estimates provided by fulfillment partners and independent logistics carriers. Actual delivery timing depends on pharmacy processing duration, product availability, customer delivery geography, courier capacity, weather conditions, road closures, and external operational factors. QwikPro does not guarantee specific delivery dates or express delivery windows. For detailed operational guidelines on order processing, tracking, transit delays, lost shipments, returns, and delivery fee refunds, please refer to Section 6 of our Refund & Cancellation Policy.
• Statutory Retail Invoicing & Tax Attribution: All commercial sales invoices, cash memos, bills of supply, and Goods and Services Tax (GST) invoices for pharmaceutical products, medications, or diagnostic testing are issued solely and directly by the fulfilling state-licensed retail pharmacy (operating under valid Form 20 and Form 21 licenses under the Drugs and Cosmetics Rules, 1945) or accredited clinical laboratory under its respective registered GSTIN. QwikPro provides software billing, practice management tools, and digital transaction-routing infrastructure; QwikPro does not itself sell, manufacture, dispense, or own the physical medicines supplied through participating pharmacies. The underlying licensed seller is solely responsible for the applicable product sale, commercial invoicing, regulatory licensing, dispensing, statutory taxation, and order fulfilment obligations.

Open Network for Digital Commerce (ONDC) Transactions: Where orders or healthcare workflows are enabled across the ONDC network, commerce operates across an unbundled, multi-participant architecture. QwikPro operates as a Seller-Side Network Participant / Technology Provider enabling state-licensed independent retail pharmacies to interface with the network. Under ONDC architecture and applicable e-commerce regulations, the independent licensed retail pharmacy is the legal "seller on record"; QwikPro does not acquire title, ownership, warehousing, or physical custody of pharmacy inventory. Where a transaction originates through a third-party ONDC Buyer Network Participant ("Buyer App"), consumer-facing discovery, ordering, and retail payment collection are governed by the applicable Buyer App's terms and policies. Dispensation, prescription verification, drug packaging, and statutory product liabilities remain with the fulfilling licensed retail pharmacy, while physical transit remains the responsibility of the designated independent Logistics Network Participant (LNP) or delivery service provider. Participating sellers warrant that all listed product data, pricing, inventory status, and Legal Metrology declarations are truthful, accurate, and compliant with applicable law. 7. Digital Payments Facilitation (QwikPe)

QwikPe provides payment technology enablement and settlement routing for clinics, pharmacies, and patients:

• Authorized Payment Partners: Payments on the Platform are processed through licensed payment aggregators, payment gateways, and banking partners regulated by the Reserve Bank of India (RBI).
• No Storage of Sensitive Card Credentials: In compliance with RBI guidelines, QwikPro does not store your debit/credit card CVV numbers, magnetic stripe data, or card PINs.
• Price Transparency & Dynamic Catalog Listings: Prices for consultations, software licenses, diagnostic tests, and pharmaceuticals are supplied and determined directly by the respective healthcare practitioners, diagnostic centers, or licensed pharmacies, and are displayed in Indian Rupees (INR), inclusive of applicable statutory taxes (such as GST) unless stated otherwise. Because third-party catalogs and provider availability update dynamically, temporary technical discrepancies or synchronization delays may occur. In the event of an obvious typographical error, regulatory MRP revision, or system listing discrepancy, the fulfilling provider or seller reserves the right to correct the error prior to dispatch or fulfillment, or cancel the affected order with a full 100% refund in accordance with our Refund & Cancellation Policy. QwikPro does not levy arbitrary cancellation fees and does not unilaterally alter seller pricing.
• Transaction Finality: Once a payment is authorized and confirmed, transactions are settled according to provider agreements and subject to our Refund & Cancellation Policy.

8. ABDM & Digital Health Ecosystem

QwikPro supports Ayushman Bharat Digital Mission (ABDM)-aligned workflows to promote healthcare interoperability across India:

Where supported and enabled by user consent, the Platform facilitates the creation, authentication, or linking of the 14-digit Ayushman Bharat Health Account (ABHA) and healthcare professional / facility registries (HPR/HFR). Digital health records (such as diagnostic reports and prescriptions) are shared in alignment with ABDM consent architecture specifications, where supported and enabled, allowing users granular control over which records are shared, with whom, and for what duration.

9. User Conduct & Acceptable Use

As a condition of accessing the Platform, you agree not to engage in any of the following:

• Uploading forged, fraudulent, altered, or unauthorized medical records or prescriptions.
• Impersonating any other person, doctor, clinic, or entity, or misrepresenting your identity or credentials.
• Attempting to decompile, reverse-engineer, disassemble, or extract source code from QwikPro software.
• Using automated bots, scrapers, data-mining tools, or extraction routines without express written consent.
• Introducing malware, viruses, worms, trojan horses, or code intended to compromise network security.
• Violating any applicable municipal, state, national, or international statute, regulation, or rule.

10. Intellectual Property & Trademarks

All intellectual property rights subsisting in the Platform, including but not limited to software code, algorithms, databases, user interfaces, branding, visual graphics, trademarks, logos, and domain names are the exclusive property of QWIKPRO PAYMENTS PRIVATE LIMITED or its licensors.

Third-Party Ecosystem Trademarks: Certain brand names, third-party logos, or trademarks displayed across the Platform (including ABDM, ONDC, bank logos, or UPI networks) are the registered property of their respective owners. Display of such marks indicates technology interoperability, integration, or ecosystem connectivity and does not imply sponsorship, endorsement, certification, or ownership by QwikPro. QwikPro adheres to applicable ONDC Branding Guidelines and utilizes ONDC Marks strictly pursuant to the limited participant terms established in the ONDC Network Participant Agreement.

11. Disclaimer of Warranties

The Platform, its software suites, and all associated services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or continuous uptime.

QwikPro does not warrant that the Platform will be uninterrupted, timely, error-free, immune from cyber attacks, or that defects will be instantly corrected, though we maintain industry-standard security and monitoring safeguards.

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, in no event shall QWIKPRO PAYMENTS PRIVATE LIMITED, its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, punitive, or consequential damages whatsoever, including loss of profits, data loss, business interruption, or personal injury resulting from:

• Your access to, use of, or inability to access or use the Platform.
• The conduct, clinical decisions, medical advice, prescription issuance, diagnosis, or malpractice of any independent healthcare professional, clinic, pharmacy, or diagnostic laboratory.
• The operational performance, transit delays, delivery failures, loss during carriage, packaging damage, or temperature-control breaches attributable to independent third-party logistics carriers, couriers, or delivery service providers, or delivery timing disruptions caused by external events beyond reasonable control (including severe weather, road closures, natural disturbances, transportation strikes, or local regulatory restrictions).
• Any unauthorized access to our secure servers or alteration of your transmissions.
• Network connectivity failures, telecommunication interruptions, or device failures.

In any scenario where liability is definitively established by a competent court of law, QwikPro's total aggregate liability under these Terms shall not exceed the total amount paid by you directly to QwikPro for the specific platform fee or service during the three (3) months preceding the cause of action, or INR 1,000, whichever is lesser.

Statutory Preservation: Nothing in these Terms shall limit or exclude any liability for fraud, willful misconduct, gross negligence, death or personal injury caused directly by QwikPro's own proven negligence, or any other liability that cannot lawfully be disclaimed or limited under applicable Indian consumer protection and contract law.

13. Indemnification

You agree to defend, indemnify, and hold harmless QWIKPRO PAYMENTS PRIVATE LIMITED, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your submission of false, inaccurate, or deceptive medical records; (c) your infringement of any intellectual property, privacy, or statutory right of a third party; or (d) any willful misconduct or fraud.

14. Suspension & Termination

QwikPro reserves the right, in its sole discretion and without prior notice, to suspend, terminate, or restrict access to any account or user if we reasonably believe that:

• You have breached any provision of these Terms or related policies.
• Your actions create legal exposure, regulatory risk, or operational harm to QwikPro.
• Required by a regulatory body, law enforcement agency, or government authority.

15. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of India.

Subject to applicable statutory dispute redressal forums, the competent courts situated in Gandhinagar / Ahmedabad, Gujarat, India, shall have exclusive territorial jurisdiction over any legal proceedings arising from these Terms.

16. Modifications to Terms

We periodically update these Terms to reflect technical improvements, legal evolutions, or platform updates. When changes occur, the updated policy will be posted with a revised "Last Updated" date. Continued use of the Platform following such revisions constitutes your formal acceptance of the modified Terms.
